Investment Risks

Early-stage business

The Company is an early-stage business and any investment in the Company’s Ordinary Shares remains subject to all of the risks and uncertainties associated with the junior exploration mining business.

General

An investment in Ordinary Shares is only suitable for financially sophisticated investors who are capable of evaluating the merits and risks of such an investment, or other investors who have been professionally advised with regard to investment, and who have sufficient resources to be able to bear any losses that may arise therefrom. Such an investment should be seen as complementary to existing investments in a sufficiently diversified pool of assets and should not form a major part of an investment portfolio. Investors should not consider investing in Ordinary Shares unless they already have a diversified investment portfolio. Investment in the Company should be regarded as long-term in nature.

Non-traded company

As the Ordinary Shares will not be traded on a public market, it will be difficult to obtain valuation information and information regarding the extent of the risk involved in an investment in the Ordinary Shares. There are often greater risks involved in unquoted shares than in quoted shares. Investors may have difficulty selling their Ordinary Shares at a reasonable price and, in some circumstances, it may be difficult to sell them at any price as there is no readily available market for the Ordinary Shares.

Operational risks

The Company may experience significant growth and development in a relatively short period of time and may face risks frequently encountered by developing companies such as undercapitalization, under-capacity, cash shortages and limited resources.
